Terms and Conditions

The rules for using the Acharya Technologies website and the AEIMS school management platform, its mobile apps and related services.

Last updated

These Terms and Conditions set out the rules for using the Acharya Technologies website and the AEIMS school management platform, including its web portal, mobile apps and related services. Please read them carefully. By using our website or AEIMS, you agree to these terms.

About these terms

In these terms:

  • "Acharya Technologies", "we" and "us" mean Acharya Technologies Pvt. Ltd., Kalanki-14, Kathmandu, Nepal.
  • "AEIMS" means our school management software, including the web portal, the Teacher and Staff App, the Parent and Student App, the Biometric Attendance App, the Canteen Ordering App, the AI features and any updates.
  • "Services" means AEIMS together with hosting, setup, customisation, data migration, training and support.
  • "School" means the school or institution that subscribes to AEIMS.
  • "Users" means the administrators, teachers, staff, parents and students a School allows to use AEIMS.

A School's quotation, order form or service agreement with us forms part of these terms. If it says something different from these terms, the agreement applies.

Using our website

Our website gives general information about AEIMS. We work to keep it accurate and up to date, but features, timelines and examples are described in general terms: what is included for your School is set out in your quotation or agreement.

When you use the website, please do not:

  • submit false information in our forms or impersonate another person or school;
  • attempt to break, overload or gain unauthorised access to the website or its systems;
  • copy large parts of the website, or use automated tools to collect its content, without our permission.

The website's AI chat assistant answers general questions about AEIMS. Its answers are for guidance only and may not always be complete or correct. For pricing, contracts or decisions, please confirm with our team.

AEIMS subscriptions

A School subscribes to AEIMS for the modules, number of users and period set out in its agreement. We will:

  • make AEIMS available on our cloud hosting, or install it on the School's own server where agreed;
  • set up the School's structure, fee and grading formats, migrate agreed data and train its staff, as described in the agreement;
  • provide the support included in the School's plan, and release updates with new features and security improvements.

Setup timelines depend on the School providing data, information and staff time when needed. A system can typically be live within hours, while full setup, migration and training usually take one to two weeks; we will agree a plan with each School.

Accounts and security

  • The School decides who may use AEIMS and which role and permissions each User has.
  • Users must keep their passwords private and must not share accounts. Each person should have their own login.
  • The School is responsible for activity under its Users' accounts, and should remove access promptly when a staff member leaves.
  • Tell us straight away if you suspect an account has been misused or a password has been exposed.

School data

All information a School enters into or uploads to AEIMS, such as student, parent, staff, academic and financial records, remains the School's property ("School Data").

  • We use School Data only to provide the Services to that School, as described in our Privacy Policy.
  • The School is responsible for the accuracy of School Data and for having the consent or other lawful basis it needs to collect and use it, including information about children and biometric attendance data.
  • The School can export its data while its subscription is active and for 30 days after it ends. After that, we may delete School Data from our systems, except where the law requires us to keep it.

Fees and payment

  • Fees, billing periods and payment terms are set out in the School's quotation or agreement. Prices exclude applicable taxes, such as VAT, unless stated otherwise.
  • Invoices are due by the date shown on them. If an invoice remains unpaid after a reminder, we may suspend access to AEIMS until it is paid. We will give notice before doing so, and School Data is not deleted during a suspension.
  • Fees already paid are not refundable, except where the agreement or Nepali law says otherwise.
  • Fees that parents pay to a School through AEIMS, for example through eSewa, Khalti or a bank, are payments to the School. Questions about those fees should go to the School.

Acceptable use

When using AEIMS, Schools and Users must not:

  • use it for anything unlawful, or to store or send content that is harmful, offensive or infringes another person's rights;
  • send SMS, email or notifications that recipients have not agreed to receive, or that break telecommunication rules;
  • try to access data or accounts they are not authorised to see, or test the security of AEIMS without our written permission;
  • copy, modify, reverse engineer or resell AEIMS, or use it to build a competing product;
  • overload or interfere with AEIMS, or upload viruses or other harmful code.

We may suspend a User or School that seriously breaks these rules, and will explain why where we can.

AI features

AEIMS includes AI tools that generate question papers, lesson plans, answers and analysis. AI output can contain mistakes. Teachers and staff should review generated questions, lesson plans and answers before using them with students, and remain responsible for the decisions they make. AI features must not be used as the only basis for decisions that significantly affect a student.

Third-party services

Some features rely on services run by other companies, such as SMS gateways, email providers, payment providers, app stores and mapping or GPS services. Their own terms apply to them. We are not responsible for their outages, charges or decisions, but we will help the School resolve problems where we can.

Intellectual property

AEIMS, our website, our logos and all related software, designs and content belong to Acharya Technologies or our licensors. During its subscription, a School receives a non-exclusive, non-transferable right for its Users to use AEIMS for the School's own operations.

The School keeps all rights to its School Data and its own logos and materials, and allows us to use them only to provide the Services, for example to print its logo on marksheets and receipts.

If you send us suggestions or feedback, we may use them to improve AEIMS without any obligation to you.

Availability and updates

We aim to keep AEIMS available at all times, but occasional interruptions can happen for maintenance, updates or reasons outside our control, such as internet or power outages. We schedule planned maintenance outside school hours wherever possible. We may improve or change features over time, but will not remove a core feature a School relies on during its subscription without notice.

Confidentiality

Each side will keep the other's confidential information private and use it only for the purpose of the Services. For us, this includes School Data. This duty continues after the subscription ends.

Disclaimers

We provide AEIMS with reasonable skill and care. Apart from what is stated in these terms or the School's agreement, AEIMS and our website are provided "as is", and we do not promise that they will be free of every error or meet every requirement a School may have. Schools remain responsible for checking results, fee calculations and reports before relying on them.

Limitation of liability

To the extent the law allows:

  • we are not liable for indirect or consequential losses, such as loss of profit, income or goodwill;
  • our total liability to a School in any twelve-month period is limited to the fees the School paid us for the Services in that period.

Nothing in these terms limits liability that cannot be limited under Nepali law.

Ending a subscription

  • A School may end its subscription as set out in its agreement, or at the end of the current subscription period with written notice.
  • Either side may end the agreement if the other seriously breaks these terms and does not fix the problem within 30 days of written notice.
  • When a subscription ends, access to AEIMS stops, and the School can export its data within 30 days, as described under School data.

Changes to these terms

We may update these terms from time to time. The date at the top of this page shows when they last changed. For changes that significantly affect Schools, we will give at least 30 days' notice by email or in AEIMS. Continuing to use AEIMS after a change takes effect means accepting the updated terms.

Governing law

These terms are governed by the laws of Nepal. We will always try to resolve a disagreement through discussion first. If that does not work, the courts of Kathmandu, Nepal will decide the matter.
